Randolph L. Tom, Founder and Chairman of Dynasty Capital Services LLC, has built the firm into one of the country’s premier strategic advisory firms focused on corporate development and venture capital. He is an expert on Asian strategic alliances, global financings and corporate finance that span a broad spectrum of industries and technologies. Having been retained on more than 100 transactions involving in excess of $3 Billion, Mr. Tom founded Dynasty in 1988 with a vision of bridging the gap between Asia and the States through the creation of profitable business opportunities with a network of trusted partners. Since Dynasty’s founding, Mr. Tom has built Dynasty’s foundation on strong business relationships across the continents while serving as an advisor to Boards of Directors, Chief Executives and senior management of publicly listed and privately held multinational firms. Capitalizing on his extensive knowledge of securities laws, management and corporate finance, Mr. Tom has served as a board member and senior officer of public and private companies. Focused initially on the wireless communication and media industries, Mr. Tom has expanded the scope of Dynasty’s services to clients involved in corporate governance, alternative asset management, information technology, mobile entertainment and software industries. He has advised on the creation of a start-up hedge/private equity investment fund manager of more than $800 Million and developed the strategic and corporate finance plan for one of Asia’s leading providers of mobile phone software. In addition, Mr. Tom has counseled numerous successful start-ups and leading international technology companies, including planning the successful $1.4 Billion sale of Avant! Corporation to Synopsys Corporation (NASDAQ NM: SNPS) and advising on an initial $50 Million investment in Semiconductor Manufacturing International Corporation (NYSE: SMI), the largest semiconductor manufacturer in China. In 2007, Mr. Tom created Dynasty's venture division, DC Ventures, to focus on private investments in creative consumer products, innovative biopharmaceuticals, and web-enabling technologies. Investments in these industries include a new proprietary formulated energy drink, a Sarbanes Oxley software solution for small to mid-cap public companies and roll-ups of laboratory testing facilities in the US and China. He serves as a board advisor to a number of privately held companies. Mr. Tom’s entrepreneurial career began as a founding member and director of AT&E, whose wireless and semiconductor technologies form the foundation of Microsoft’s MSN Direct Band Network with its “Smart Watch” and Japan’s NTT DoCoMo’s “Wristomo,” a mobile phone developed in a wristwatch by Seiko. Mr. Tom’s duties included serving as the President/CEO of the company’s Asian operations, tackling the numerous cultural obstacles of doing business in Asia. Learning from Asian executives of their frustrations in dealing with their US counterparts’ lack of understanding of Asian business practices, Mr. Tom saw an opportunity for an Asian-American firm to prosper by enhancing the lines of communications around the world. Prior to the company’s sale to Seiko, he was instrumental in raising more than $120 Million in capital through innovative financial techniques such as the first PIPE transactions. Growing the Company with a peak market capitalization of nearly $700 Million, Mr. Tom forged strategic relationships with Epson, Hutchison Whampoa, Bell Atlantic (now Verizon), France Telecom and other institutional investors and venture capital funds. Mr. Tom is a frequent speaker at venture capital and communication conferences, including The Pacific Telecommunications Conference, and his commentary has appeared in numerous publications, including The Wall Street Journal, The American City Business Journals and The National Law Journal. He is the Editor-in-Chief of Dynasty Perspectives, a quarterly web-based newsletter, focused on technology and financial developments, facilitating the flow of capital between continents. Mr. Tom was previously the head of the Asia-Pacific practice in the Silicon Valley office of Oppenheimer Wolff and Donnelly and began his career on Wall Street as a securities lawyer with the New York office of Fulbright & Jaworski. Mr. Tom received his JD, MBA and BS degrees with honors from New York University and is admitted to practice law in New York, California and the District of Columbia (ret.). He was one of the first Asian Americans elected to serve on the Board of Directors of both a NASDAQ and an exchange-listed company. Mr. Tom had served as an advisor to Fortify Systems Inc., a Sarbanes-Oxley software solutions company. Mr. Tom is also active in Asian American and community service organizations, serving as an Executive Advisory Board Member of the Center for the Pacific Rim at USF and a Board Member of the Community Technology Foundation of California, now ZeroDivide.org, a social early stage investment fund supported by AT&T.
